World Spirit was registered as a Trademark in November 1999 by a private company belonging to the founding director of World Spirit, at the beginning of the process that eventually led to the setting up of the World Spirit organisation. The Trademark was registered in the EEC for: Transport services --- Accommodation services --- Performing Arts --- Clothing --- Audio/Video/CD & multimedia recordings --- Printed publications. This registration process will be extended internationally. A licence for a nominal fee has been granted to World Spirit for the sole use of the Trademark, subject to the organisation adhering to its charitable objectives. If World Spirit obtains charitable status, it will have the absolute right to the title of the trademark under a binding contract with the founding director. If it fails to obtain charitable status, World Spirit will adopt other measures to achieve the same objective and thereby secure title to the trademark. Until that process is completed, the founding director will protect the trademark from any attempts at ownership by the members of World Spirit. World Spirit, as an interim measure, will
operate as a 'Company limited by guarantee' under English law, which guarantee will
enable the organisation to distribute profits to charities and conservation projects. The
contract with the founding director will require the eventual repayment to the private
company owning the trademark of the professional fees incurred by worldwide registration
of the trademark and for setting up the related operating companies Barring ill health or utter incompetence, the founding director will be contracted for 5 years to set up and operate both the World Spirit travel programme and a related, wholly owned but legally separate, limited company for the distribution of products relevant to the overall activities of the organisation (World Spirit Trading Ltd). Further to the observation that founders are often not the best people to run the organisations that they have set up, the renewal of the above contract in 5 years time is subject to a mutual termination period of 12 months notice, by either the World Spirit Board or the founding director. |
